1990年代以降、コーポレート・ガバナンスに関わる商法・会社法などが変容を遂げてきた。従来、それらの法制度は調整型市場経済を前提としたものであったが、近年では自由主義市場経済型へと変化してきた。本研究は1990年代初頭に重大局面が存在し、政治的機会構造が開放されて従来の政策規範や政策ネットワークが大きく揺らぎ、新たな政策アイディアやアクターが政策形成に影響を及ぼしうる余地が広がり、その結果として政策が変化してきたことを明らかにした。, This study focuses on the corporate governance policy changes related to the Japanese production regime, which is classified as the coordinated market economy in the varieties of capitalism literature, through the political analysis and the policy study.
In Japan, the Commercial Law and the Corporate Law associated with the corporate governance has transformed since the 1990s. These policies had been grounded in the coordinated market economy model. Recently, however, they have changed to ones according to the liberal market economy model. This study describes and explains the policy development from the critical juncture in the early 1990s, when the political structures had been opened, to the policy reforms in the 2010s. Existing policy norms and networks had been eroded in the early 1990s, and then new policy ideas and actors have influenced policy processes.
